1. Acceptance of Terms

By accessing or using Zen-O ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. These terms apply to all visitors, users, and creators who access or use the Platform.

2. Description of Service

Zen-O is a curated streaming platform that hosts and distributes visual content including films, series, documentaries, and other storytelling formats. We provide:

• A streaming service for viewers to discover and watch curated content
• A creator partnership program for content submission and revenue sharing
• Tools and analytics for creators to track performance

3. User Accounts

3.1 Registration

To access certain features of the Platform, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these terms or for any other reason at our discretion.

4. Creator Terms

4.1 Content Submission

By submitting content to Zen-O, you represent and warrant that:

• You own or have obtained all necessary rights to the content
• The content does not infringe on any third-party rights
• The content complies with all applicable laws and regulations
• The content includes English subtitles if the original language is not English

4.2 Platform Exclusivity

During the term of our agreement, your content must remain exclusive to Zen-O. You agree to remove the content from all other platforms (including YouTube, Vimeo, and social media) at least 30 days before the Zen-O launch date. This exclusivity applies for the duration of our licensing agreement.

4.3 Content Standards

All submitted content must meet our quality and content standards. We reserve the right to reject content that:

• Contains illegal, harmful, or offensive material
• Promotes violence, discrimination, or hatred
• Violates intellectual property rights
• Does not meet our technical quality requirements

4.4 Revenue Sharing

Revenue sharing terms are as follows:

• Founders 100: First 100 approved creators receive a 60/40 split (60% to creator, 40% to Zen-O) for the lifetime of their content on the Platform.
• Standard: All other creators receive a 50/50 split.
• Revenue is calculated based on views, engagement, and subscription metrics.
• Payments are processed monthly within 30 days of month-end.

4.5 Content Removal

Creators may request removal of their content with 30 days' written notice. Upon removal, the licensing agreement terminates and revenue sharing ceases. Zen-O reserves the right to remove content that violates these terms or applicable laws without notice.

5. Viewer Terms

5.1 Content Access

Viewers may access content on Zen-O subject to their subscription tier or pay-per-view purchase. Content is for personal, non-commercial viewing only.

5.2 Prohibited Activities

Viewers agree not to:

• Download, copy, or redistribute content without authorization
• Use the Platform for any illegal purpose
• Attempt to circumvent any security or access controls
• Share account credentials with others
• Upload or distribute malware or harmful code

6. Intellectual Property

6.1 Platform Content

All content on Zen-O is protected by copyright and other intellectual property laws. You may not use, reproduce, or distribute any content without express permission.

6.2 Zen-O Brand

The Zen-O name, logo, and all related marks are our trademarks. You may not use them without our prior written consent.

7. Disclaimers

The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding the Platform's reliability, availability, or fitness for a particular purpose. We do not guarantee uninterrupted or error-free service.

8. Limitation of Liability

To the maximum extent permitted by law, Zen-O and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Zen-O and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Zen-O operates, without regard to its conflict of law provisions.

11. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes by posting the updated terms on the Platform. Your continued use of the Platform after changes constitutes acceptance of the updated terms.
